1. Acceptance of Terms
By accessing or using the WHMDC Marketplace ("Marketplace") operated by COZQ Limited ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Marketplace.
2. Description of Service
The Marketplace provides a platform for developers to list, sell, and distribute software modules, addons, gateways, themes, and related products ("Items") for use with WHMDC software. Buyers may browse, purchase, and download Items subject to these terms.
3. Account Registration
3.1 You must create an account to purchase Items or list Items as a developer.
3.2 You are responsible for maintaining the confidentiality of your account credentials.
3.3 You must provide accurate and complete information when registering.
3.4 You must be at least 18 years of age to use the Marketplace.
4. Purchasing and Licensing
4.1 All purchases are subject to the specific licence terms of each Item as stated by the developer.
4.2 Prices are displayed in the currency specified by the developer (typically GBP).
4.3 Payment is processed securely via Stripe. We do not store your full payment details.
4.4 Upon successful purchase, you will receive a licence key and download access as defined by the Item's licence type.
4.5 Refunds are governed by our Refund Policy.
5. Developer Obligations
5.1 Developers must provide accurate descriptions of their Items.
5.2 Items must not contain malware, infringe intellectual property rights, or violate applicable laws.
5.3 Developers are responsible for support of their Items unless otherwise stated.
5.4 Developers must comply with our IP & Takedown Policy.
6. Prohibited Conduct
- Use the Marketplace for any unlawful purpose
- Distribute, share, or resell licence keys without authorisation
- Reverse engineer, decompile, or disassemble Items except as permitted by law
- Use automated systems to scrape or harvest data without permission
- Impersonate others or misrepresent your affiliation
7. Intellectual Property
7.1 Developers retain ownership of their Items. Listing on the Marketplace grants us a limited licence to display, distribute, and process transactions.
7.2 Buyers receive a licence to use Items as specified in the purchase. Ownership of the Item remains with the developer.
8. Disclaimer
8.1 The Marketplace is provided "as is". We do not warrant that Items are error-free or fit for any particular purpose.
8.2 We are not responsible for the quality, legality, or functionality of third-party Items.
8.3 Support for Items is the responsibility of the developer unless we explicitly state otherwise.
9. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Marketplace or any Item.
10. Termination
We may suspend or terminate your account if you breach these terms. Developers may have their Items removed for policy violations.
11. Changes
We may update these terms from time to time. Continued use of the Marketplace after changes constitutes acceptance. Material changes will be communicated via email or prominent notice.
12. Governing Law
These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
